GATEKEEPER AND AFFINITY GROUP TERMS

1. Additional Definitions

Accredited Investor means individuals or entities that meet specific financial criteria, such as having sufficient income to invest in CFM™ Tokens.
Affinity Group is an organisation who can refer the Members.
Bearer Document means a document which entitles the bearer, holder or person possessing the CFM™ Token Certificate to claim the Redemption.
Business Plan refers to a document that provides full disclosure and includes information about the company, its business, management team, risks, and financial statements and can be accessed HERE.
CFM™ Tokens refers to the Number of CFM™ Tokens recorded on the CFM™ Token Certificate.
CFM™ Tokens Certificate refers to a digital certificate issued to the Investor when purchasing the CFM™ Tokens. The CFM™ Certificate is a Bearer Document.
Flyer refers to a document that can be intially shared by the Gatekeeper with the Affinity Group and with Members, which can be accessed by clicking HERE.
Gatekeeper is an individual who can refer the Affinity Group.
Token Buyer means the individual who has purchased the CFM™ Tokens and who has been issued the CFM™ Tokens Certificate.
Member refers to an individual who belongs to the Affinity Group.
Issuer means S10X, which is the exclusive retailer of the CFM™ Tokens.
Reasonable Steps means efforts and measures that the Issuer must take to verify Accredited Investors.
Redemption refers to the Redemption Value recorded on the CFM™ Token Certificate.
Redemption Date refers to the Redemption Date recorded on the CFM™ Token Certificate.
Referral program refers to the program in which Gatekeepers will refer prospective Affinity Groups to the Carbon Fund to purchase CFM™ Tokens.
Regulation refers to Regulation D, which provides several exemptions from the registration requirements of the Securities Act of 1933, allowing companies to raise capital without undergoing the full registration process. One of these exemptions, Rule 506, includes provisions for crowdfunding under certain conditions.

2. Registration of the Gatekeeper

2.1 The Gatekeeper must register as a User on the Portal.

2.2 The Carbon Fund will assign the Token Buyer role to the User when approving the User.

2.3 The Carbon Fund will assign the User the Gatekeeper role once they have ordered and purchased 10 (ten) CFM™ Tokens for $4 (refer to Par 2.2.2).

3. Registration of the Affinity Group

3.1 The Gatekeeper must refer the prospective Affinity Group to register as a User on the Portal.

3.2 The Affinity Group must register as a User on the Portal.32.3 The Carbon Fund will assign the Token Buyer role to the User when approving the User.

3.3 The Carbon Fund will assign the User, the Affinity Group role once they have ordered and purchased 10 (ten) CFM™ Tokens for $4 (refer to Par 2.2.2).

4. Duties of the Gatekeeper

4.1 The Gatekeeper may not provide investment advice whatsoever.

4.2 To qualify as a Gatekeeper, a prospective Gatekeeper must:

4.2.1 Register as a Token Buyer on the Portal.

4.2.2 Purchase 10 (ten) CFM™ Tokens for $4 (four USD Dollars).

4.3 Review the CFM™ Token Buyer Terms and be aware of the Regulations surrounding the investment in CFM™ Tokens before engaging any prospective Affinity Groups.

4.4 Engage 1:1 with the prospective Affinity Groups and share the Flyer.

4.5 The Gatekeeper may not provide any investment advice on CFM™ Tokens whatsoever.

5. Duties of the Affinity Group

5.1 Must endorse the CFM™ Tokens with their Members.

5.2 To qualify as an Affinity Group on the Portal, a prospective Affinity Group must:

5.2.1 Register as a User on the Portal.

5.2.2 As a Token Buyer, purchase 10 (ten) CFM™ Tokens for $4 (four USD Dollars) to understand how CFM™ Tokens work and be able to endorse them with their Members.

5.4 Review the CFM™ Token Buyer Terms and be aware of the Regulations surrounding the investment in CFM™ Tokens before endorsing the purchase of CFM™ Tokens by the Members.

5.4 The Affinity Group may not provide investment advice on CFM™ Tokens whatsoever.

6. Roles Assigned to the Gatekeeper

6.1 The Gatekeeper will be assigned the following roles on the Portal:

6.1.1 User; and

6.1.2 Token Buyer; and

6.1.3 Gatekeeper - to earn the referral fee.

6.2 The Gatekeeper accepts their assigned roles by registering as a User on the Portal.

7. Roles Assigned to the Affinity Group

7.1 The Affinity group will be assigned the following roles on the Portal:

7.1.1 User; and

7.1.2 Token Buyer; and

7.1.3 Affinity Group - to earn the Tithing Fee.

7.2 The Affinity Group accepts their assigned roles by registering as a User on the Portal.

8. Compensation

8.1 The Gatekeepr will receive the referral fee equal to 5% (five per cent) of the Token investment value.

8.2 The Affinity Group will receive a tithing amount equal to 10% (ten per cent) of the Token investment value.

8.3 Payments will be processed once the Issuer closes the CFM™ Program or by 30 July 2024, whichever date is soonest.

8.4 The Issuer will use the Bank Details for payments as attached to the Profile on the Portal for the User.

9. Severability

If any provision of these terms and conditions is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
