MASTER USER AGREEMENT
This Master User Agreement ("Agreement") governs your access to all functions of the CFM™ Portal functions.
By accessing or using the CFM™ Portal, you agree to be bound by this Agreement and any other supplementary terms applicable to any additional approved role(s) you may be assigned.
If you disagree with the Master User Agreement terms and conditions or any supplementary user terms, do not attempt to REGISTER or LOGIN to the CS Portal.
1. Definitions
These definitions apply to this Agreement as well as the Supplementary Terms.
Carbon Credits | refers to units representing the reduction, avoidance, or removal of greenhouse gas emissions as certified by recognized standards and authorities |

CFM Portal | refers to the CFM Portal accessible via the internet HERE. |
User | refers to any individual or entity who has been approved by the Carbon Fund to log in and access the Portal. |
Carbon Fund | or Issuer, means S10X Carbon Fund, LLC., incorporated in Delaware, USA, with registration number 20233180169. |
2. Supplementary Terms
2.1 The User will automatically sign up for ("Supplementary Terms"), depending on the role(s) the Carbon Fund assigns them.
2.2 You must review the Supplementary Terms carefully before proceeding, and if uncertain at all, you must seek advice from a professionally qualified attorney, before you register or login again.

3. Registration and Account Security
3.1 Users must register an account to access functions on the Portal.
3.2 Users are ultimately responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
3.3 Users agree to promptly notify Carbon Fund of any unauthorised account use or any other security breach.
4. Conduct
4.1 Users agree to conduct all transactions on the Portal with honesty, integrity, and transparency.
4.2 Users must comply with all applicable laws, regulations, and industry standards governing the Compliance Carbon Markets.
4.3 Carbon Fund reserves the absolute right to instantly suspend or terminate the accounts of users engaged in fraudulent, deceptive, or illegal activities and to report the incident(s) to the necessary criminal authorities.
5. Intellectual Property
5.1 The Carbon Fund owns the rights to CFM™ trademark and the Carbon Funding Mechanism℠ service mark.
5.1 The Carbon Fund retains ownership of any intellectual property rights in their content uploaded to the Portal.
5.2 Users grant the Carbon Fund a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute their content to operate and promote the Portal to issue and distribute Carbon Credits.
6. Dispute Resolution
6.1 Any disputes under this Agreement shall be resolved through good faith negotiations.
6.2 If the Parties cannot resolve a dispute through negotiations, they agree to submit the matter to a formal mediation body that both Parties must agree on in writing before pursuing legal remedies.
7. Limitation of Liability
7.1 The Carbon Fund shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with this Agreement or use of the Portal.
7.2 In no event shall Carbon Fund's total liability exceed the amount paid by the User, if any, to access or use the Portal.
7.3 To the extent allowed by applicable law, you’ll indemnify the Carbon Fund and its directors, officers, employees, and contractors for any third-party legal proceedings (including actions by government authorities) arising out of or relating to your unlawful use of the services or violation of these terms or service-specific additional terms. This indemnity covers any liability or expense arising from claims, losses, damages, judgments, fines, litigation costs, and legal fees.
7.4 If you’re legally exempt from specific responsibilities, including indemnification, those responsibilities don’t apply under these terms. For example, the United Nations enjoys certain immunities from legal obligations and these terms don’t override those immunities.
7.5 The Carbon Fund is not responsible for the following liabilities: loss of profits, revenues, business opportunities, goodwill, anticipated savings, indirect or consequential loss, or punitive damages.
7.6 The Carbon Fund's total liability arising out of or relating to these terms is limited to the greater of (1) US$500 or (2) 125% of the fees that you paid to use the relevant services in the 12 months before the breach.
8. Modifications to Terms
8.1 The Carbon Fund reserves the right to modify or update this Agreement and the Supplementary Terms at any time without prior notice.
8.2 Users are responsible for regularly reviewing this Agreement and the Supplementary Terms.
8.3 Continued use of the Portal after any modifications to this Agreement and the Supplementary Terms constitutes acceptance of the modified terms.
9. Confidentiality and Protection of Personal Information
The Carbon Fund shall maintain strict confidentiality regarding all information, data, and communications obtained or exchanged during operations. This includes but is not limited to sensitive financial information, proprietary technology, and User's data. The Carbon Fund shall not disclose such information to any third party without prior written consent, except as required by law or authorized by the disclosing party. The Carbon Fund shall implement appropriate measures to safeguard the confidentiality and privacy of all information collected or entrusted to it.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the USA and the state of Delaware, without regard to its conflict of law provisions.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
By accessing or using the Portal, Users acknowledge they have read, understood, and agree to be bound by this Agreement and the Supplementary Terms.
